1. Acceptance of Terms

By accessing or using the services provided by Arya Consultancy Services ("ACS", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

ACS provides consultancy and liaison services for educational institutions and industries, including but not limited to:

  • Regulatory compliance assistance
  • License and approval applications
  • Renewal and extension services
  • Documentation and liaison work with government departments
  • Advisory services for institutional and industrial compliance

3. Client Responsibilities

As a client of ACS, you agree to:

  • Provide accurate, complete, and timely information required for our services
  • Cooperate with our team and respond promptly to requests for information
  • Ensure all documents and information provided are genuine and authentic
  • Pay all fees and charges as agreed upon in the service agreement
  • Comply with all applicable laws and regulations

4. Service Limitations

While we strive to provide the best possible service, you acknowledge that:

  • We act as consultants and liaisons; final decisions rest with government authorities
  • We cannot guarantee specific outcomes or timelines due to factors beyond our control
  • Processing times depend on government departments and regulatory bodies
  • We are not responsible for changes in government policies or regulations

5. Fees and Payment

Service fees will be agreed upon before commencement of work. Payment terms include:

  • Fees are based on the scope of work and complexity of services required
  • Payment schedules will be outlined in the service agreement
  • Additional charges may apply for expedited services or scope changes
  • Government fees and third-party charges are separate from our service fees
  • Retainership agreements end on March 31st of every year and must be renewed for the following financial year

Retainership Validity — Agreement Clause

This retainership agreement is valid for the financial year commencing from 1st April and ending on 31st March. The agreement shall automatically expire on 31st March unless renewed by the client for the subsequent financial year. Renewal shall be subject to mutual consent and payment of applicable retainership fees.

Note: All retainerships are aligned with the Financial Year (April–March) as per standard business practice in India.

Invoice Description: Retainership Fees for Financial Year 2025–2026 (Valid up to 31st March 2026).

6. Confidentiality

We maintain strict confidentiality regarding all client information. We will not disclose your information to third parties except:

  • When required for service delivery (e.g., submissions to government departments)
  • When required by law or legal process
  • With your explicit written consent

7. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of ACS and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

8. Limitation of Liability

To the maximum extent permitted by law:

  • ACS shall not be liable for any indirect, incidental, or consequential damages
  • Our liability is limited to the fees paid for the specific service in question
  • We are not responsible for delays or failures caused by government authorities
  • We are not liable for decisions made by regulatory bodies

9. Termination

Either party may terminate the service agreement with written notice. Upon termination:

  • Fees for work completed up to the termination date remain payable
  • We will return all client documents and materials
  • Confidentiality obligations continue after termination

10. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

  • Good faith negotiations between the parties
  • Mediation if negotiations fail
  • Arbitration or courts in New Delhi, India, as a last resort

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. The courts of New Delhi shall have exclusive jurisdiction over any disputes.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.

13. Indemnification

You agree to indemnify and hold ACS harmless from any claims, damages, or expenses arising from:

  • Your breach of these terms
  • Provision of false or misleading information
  • Your violation of any laws or regulations

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
